TERMS AND CONDITIONS

  1. ACCEPTANCE OF TERMS

By accessing or using any platform, application, or service provided by 360 Technologies USA LLC (“360 Technologies,” “we,” “us,” or “our”), including Live 360, ClickSign 360, Hi360x, Flash Team 360, and any related services, you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, you must discontinue use of all 360 Technologies services immediately.

These Terms apply universally to all products and services offered by 360 Technologies, unless a separate written agreement has been executed between you and 360 Technologies, in which case that agreement shall govern to the extent it conflicts with these Terms.

  1. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into binding agreements to use our services.

By using our platforms, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement
  • You are using the services for lawful business purposes
  • You comply with all applicable laws and regulations
  1. USER ACCOUNTS AND SECURITY

3.1 Account Responsibility

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities conducted under your account
  • Notifying us immediately of unauthorized access or security breaches

3.2 Account Information

You agree to:

  • Provide accurate, complete, and current information during registration
  • Maintain and update this information to keep it accurate
  • Not impersonate other users or misrepresent your identity

3.3 Credential Security

You agree not to:

  • Share your account credentials with third parties
  • Use another person’s account without authorization
  • Allow multiple users to share a single account

Limitation: 360 Technologies is not liable for losses arising from unauthorized access resulting from your failure to secure your account or credentials.

  1. PERMITTED USE

You agree to use our platforms solely for lawful business purposes in accordance with these Terms.

4.1 Prohibited Activities

You may not:

  • Use services for fraudulent, harmful, or illegal activities
  • Attempt unauthorized access to systems, networks, or data
  • Interfere with platform functionality, performance, or security
  • Upload malicious code, viruses, or harmful scripts
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Bypass or circumvent security controls or rate limiting
  • Misuse or exploit features for unintended purposes
  • Engage in automated scraping or excessive data extraction
  • Violate intellectual property, privacy, or other legal rights

4.2 Enforcement

360 Technologies reserves the right to:

  • Monitor account activity for policy violations
  • Suspend or terminate accounts that violate these Terms
  • Pursue legal remedies for violations
  1. DATA OWNERSHIP AND USE

5.1 Your Data

You retain full ownership of all data, content, documents, information, and materials you upload or process through our platforms (“Your Data”).

360 Technologies does not:

  • Sell, rent, trade, or monetize Your Data
  • Use Your Data for marketing purposes
  • Share Your Data with third parties for their direct benefit
  • Use Your Data to compete with your business

5.2 License to 360 Technologies

By using our services, you grant 360 Technologies a limited, non-exclusive, revocable license to process Your Data solely for:

  • Operating and maintaining the platform
  • Providing requested features and workflows
  • Ensuring security, compliance, and reliability
  • Improving service performance and functionality
  • Complying with applicable law

5.3 Data Retention

Your Data is retained:

  • During the term of your subscription for platform operation
  • After termination, you have 30 days to request export
  • After 30 days, data will be securely deleted unless extension is requested
  • Certain data may be retained longer if required by law

5.4 No External Use

We do not use Your Data for:

  • Training AI models or machine learning systems
  • Developing competing services
  • External advertising or third-party marketing
  • Any purpose unrelated to providing our services

Important: 360x AI (described in Section 15) does NOT use your data for model training. Your data is processed by 360x AI solely to provide requested analysis and assistance within Live 360.

  1. PRIVACY AND SECURITY

6.1 Privacy Policy

Your use of our services is governed by our Privacy Policy (available at https://360techusa.com/privacy-policy/), which explains how we collect, use, and protect your information.

6.2 Security Measures

We implement industry-standard security practices to protect Your Data, including:

  • Encryption in Transit: TLS 1.2 or higher for all data transmission
  • Encryption at Rest: AES-256 encryption for all stored data
  • Access Controls: Role-based access control (RBAC) and least-privilege principles
  • Authentication: Multi-factor authentication (MFA) availability
  • Monitoring: Continuous monitoring and threat detection
  • Audit Logging: Comprehensive audit logs of all system access (6-year retention)
  • Backups: Regular backups with disaster recovery protocols
  • Infrastructure: Enterprise-grade cloud infrastructure (AWS) with contractual data protection agreements

6.3 Security Limitations

No system can be guaranteed completely secure. 360 Technologies:

  • Makes reasonable efforts to protect Your Data
  • Cannot guarantee protection against all threats
  • Will notify affected users promptly if a breach occurs
  • Maintains an Incident Response Plan for security events

6.4 Your Security Responsibility

You are responsible for:

  • Securing your account credentials
  • Maintaining appropriate security practices on your end
  • Keeping your software and systems updated
  • Following security best practices
  1. SERVICE AVAILABILITY AND MODIFICATIONS

7.1 Service Availability

360 Technologies strives to maintain continuous availability of its platforms; however, we do not guarantee:

  • Uninterrupted service
  • Zero downtime
  • Specific performance levels
  • Particular features or functions

7.2 Service Modifications

We may modify, update, suspend, or discontinue any part of the service at any time, with or without notice, including:

  • Features and functionality
  • User interfaces
  • Pricing (for new subscriptions)
  • System architecture
  • Access methods
  • Technical specifications
  • AI models or 360x AI functionality

7.3 Scheduled Maintenance

360 Technologies may perform scheduled maintenance during hours when we provide advance notice.

7.4 No Liability for Modifications

360 Technologies is not liable for any loss or damage resulting from:

  • Service interruptions or downtime
  • Service modifications or discontinuations
  • Loss of access or data availability
  • Changes to platform features or AI capabilities
  1. THIRD-PARTY SERVICES AND INTEGRATIONS

8.1 Third-Party Providers

Our platforms may integrate with third-party services such as:

  • SMS and email providers
  • Cloud storage services
  • Identity verification tools
  • Payment processors
  • Communication platforms
  • Data analytics services
  • AI Assistant platforms (if using MCP integration)

8.2 Third-Party Liability Disclaimer

360 Technologies is not responsible for:

  • The performance or availability of third-party services
  • Their security practices or data protection
  • Their terms, policies, or compliance obligations
  • Service interruptions or data loss caused by third parties
  • Your use or misuse of third-party services

8.3 Third-Party Terms

Your use of third-party services is subject to their respective terms of service and privacy policies. You are responsible for:

  • Reviewing third-party terms before using their services
  • Complying with third-party restrictions
  • Understanding third-party data handling practices

8.4 Data Transmission to Third Parties

When you integrate 360 Products with third-party services:

  • Your Data may be transmitted to third-party systems
  • Third-party data handling practices apply
  • 360 Technologies is not responsible for third-party data use
  • You are responsible for ensuring third-party compliance with applicable law
  1. INTELLECTUAL PROPERTY

9.1 360 Technologies IP

All software, interfaces, designs, graphics, trademarks, logos, source code, and content provided by 360 Technologies are the exclusive property of 360 Technologies USA LLC.

This includes 360x AI, the 360x AI interface, and all related technology.

9.2 License Grant

360 Technologies grants you a limited, non-exclusive, non-transferable license to use the platforms solely for your own business purposes, subject to these Terms.

9.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of our software
  • Distribute, transmit, or sublicense our services
  • Reverse-engineer, decompile, or attempt to discover the source code
  • Use our trademarks, logos, or brand elements without written permission
  • Remove or alter copyright notices or proprietary markings

9.4 Your Content IP

You retain ownership of all intellectual property in Your Data. By submitting Your Data, you grant 360 Technologies the limited license described in Section 5.2.

  1. PROHIBITED CONDUCT

You agree not to engage in any conduct that:

  • Violates applicable federal, state, or local laws or regulations
  • Harms the platform, 360 Technologies, or other users
  • Attempts to bypass security controls or authentication mechanisms
  • Misrepresents your identity, affiliation, or authorization
  • Abuses communication, automation, or notification features
  • Interferes with system integrity, performance, or security
  • Engages in harassment, discrimination, or abusive behavior
  • Attempts to extract or exfiltrate data beyond authorized use
  • Uses the platform for competitive intelligence or market research
  • Conducts unauthorized load testing or denial-of-service attacks
  • Attempts to reverse-engineer or extract 360x AI technology
  1. COMPLIANCE REQUIREMENTS

11.1 User Obligations

Depending on your industry and use case, you may be subject to regulatory obligations, including but not limited to:

  • HIPAA (Health Insurance Portability and Accountability Act)
  • TCPA (Telephone Consumer Protection Act)
  • GLBA (Gramm-Leach-Bliley Act)
  • FINRA/SEC (Securities Regulation)
  • PCI-DSS (Payment Card Industry Data Security Standard)
  • GDPR (General Data Protection Regulation)
  • CCPA/CPRA (California Consumer Privacy Act)
  • State and local privacy laws

11.2 Your Responsibility

You are responsible for:

  • Determining which regulations apply to your organization
  • Ensuring your use of our platforms complies with applicable law
  • Obtaining necessary consents, authorizations, and approvals
  • Implementing appropriate controls within your organization
  • Maintaining compliance documentation

11.3 360 Technologies Support

360 Technologies provides secure architecture and technical controls to support compliance, but does not assume responsibility for your regulatory obligations. You must:

  • Conduct your own compliance assessments
  • Consult with legal counsel regarding regulatory requirements
  • Implement organizational policies and controls
  • Maintain compliance records and documentation
  1. LIMITATION OF LIABILITY

12.1 Disclaimer of Liability

To the fullest extent permitted by applicable law, 360 Technologies is not liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, business, or goodwill
  • Loss, corruption, or unavailability of data
  • Service interruptions, delays, or performance issues
  • Unauthorized access resulting from your actions or negligence
  • Errors or failures caused by third-party services
  • User-generated content or data
  • AI output accuracy or errors, including 360x AI output (see Section 15.6)

12.2 Limitation Cap

Except for liability related to data protection (Section 12.3), 360 Technologies’ total liability for any claim shall not exceed the lesser of:

  • The amount you paid to 360 Technologies for the applicable service in the 12 months preceding the claim, or
  • $1,000

12.3 Data Protection Liability Exception

360 Technologies remains fully liable for:

  • Breaches of data protection obligations outlined in Section 6
  • Failures to implement required encryption or access controls
  • Unauthorized disclosure of Your Data due to 360 Technologies’ negligence or willful misconduct
  • Failure to notify of security incidents as required by Section 6.4
  1. INDEMNIFICATION

13.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless 360 Technologies USA LLC, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:

  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your use or misuse of the platforms
  • Your violation of third-party rights (intellectual property, privacy, etc.)
  • Your data or content (including infringement or misuse)
  • Regulatory non-compliance caused by your actions
  • Claims related to AI output or 360x AI-generated content
  • Any unauthorized actions using your credentials

13.2 360 Technologies Indemnification

360 Technologies agrees to indemnify you for third-party claims that the 360 Technologies platform infringes third-party intellectual property rights, provided you:

  • Notify 360 Technologies promptly of the claim
  • Allow 360 Technologies to control the defense
  • Provide reasonable cooperation
  1. HI360X AI SERVICE TERMS

14.1 AI Features and Limitations

Hi360x uses artificial intelligence to provide communications and engagement features. You acknowledge and agree that:

  • AI may produce errors, inaccuracies, or inappropriate content
  • You must review all AI-generated output before use
  • 360 Technologies makes no warranty regarding AI accuracy, completeness, or suitability

14.2 Your Responsibility

You are solely responsible for:

  • All actions taken based on AI output
  • Compliance with applicable laws (TCPA, HIPAA, FINRA/SEC, PCI-DSS, GDPR, CCPA, etc.)
  • Obtaining necessary consents from end users before using AI-generated communications
  • Human oversight and validation of all AI-generated content
  • Maintaining required compliance records

14.3 Data Storage and Governing Law

  • All data is stored exclusively in the United States
  • Governed by U.S. federal law and Florida state law
  • Jurisdiction: Broward County, Florida
  • International privacy laws (GDPR, etc.) apply only through executed Data Processing Agreements

14.4 Beta Features

Features labeled “beta,” “pilot,” or “early access” are:

  • Provided “as is” with no warranty
  • May change or be discontinued without notice
  • May have limited or no support
  • Not subject to SLA or uptime guarantees

14.5 AI Liability Limitation

Our total liability for Hi360x is limited to the greater of:

  • The amount you paid in the prior 12 months, or
  • $1,000

We are not liable for:

  • AI errors, inaccuracies, or output failures
  • Lost profits, revenue, or business
  • Consequential, special, or indirect damages
  • Regulatory violations or compliance failures

14.6 Hi360x Indemnification

You agree to indemnify us against claims arising from:

  • Your use of Hi360x, including AI output
  • Regulatory non-compliance related to AI-generated communications
  • Data stored in the United States through Hi360x
  • Third-party claims related to Hi360x usage
  1. ARTIFICIAL INTELLIGENCE FEATURES: 360x AI

15.1 Overview of 360x AI

360 Technologies USA LLC processes insurance data (Protected Health Information and Personally Identifiable Information) as part of its Live 360 platform operations.

Introducing 360x AI: A new intelligent assistant built directly into Live 360, designed to help you work smarter with your data while maintaining enterprise-grade security and privacy protections.

Important Clarification on Data Protection:

360 Technologies implements enterprise-grade security practices to protect your data. While we are not a HIPAA Business Associate (because our customers are primarily insurance agents and agencies, not HIPAA Covered Entities), we maintain security standards that meet or exceed industry requirements for healthcare data protection.

Key Data Protection Commitments:

  • ✅ All data is encrypted in transit (TLS 1.2+) and at rest (AES-256)
  • ✅ All data remains within secure cloud infrastructure
  • ✅ Business Associate Agreement maintained with cloud infrastructure provider
  • ✅ 360x AI does not use your data for model training
  • ✅ Access controls, audit logging, and monitoring implemented
  • ✅ No data shared with unauthorized third parties
  • ✅ Regular security assessments and incident response procedures

15.2 Products and Data Processing

Live 360:

  • Insurance policy management platform for agents and agencies
  • Processes Protected Health Information (PHI) and Personally Identifiable Information (PII)
  • AI infrastructure: 360x AI (Intelligent Assistant Service)
  • Data protection: Enterprise-grade encryption and access controls
  • AI capability: Intelligent assistant for policy analysis, member communication, workflow automation

ClickSign 360:

  • Electronic document signing platform
  • Processes general business documents and PII
  • AI infrastructure: Internal AI services
  • Warning: Not optimized for PHI processing; do not submit healthcare data

Hi360x:

  • Communications and engagement platform
  • Processes communications and contact information
  • AI infrastructure: Internal AI services
  • Warning: Not optimized for PHI processing; do not submit healthcare data

15.3 360x AI: How It Works

What is 360x AI?

360x AI is an intelligent assistant built directly into Live 360, powered by advanced AI technology running within secure enterprise infrastructure.

When you ask 360x AI a question about your data:

  1. Your query is transmitted securely (TLS 1.2+) to secure infrastructure
  2. 360x AI processes your query within Live 360’s secure environment
  3. 360x AI generates a response based on your data
  4. The response is returned to you securely
  5. All interactions are logged in audit trails
  6. Your data is never transmitted outside Live 360’s infrastructure

What Can 360x AI Do?

360x AI can help you:

  • Analyze and summarize member or policy information
  • Draft communications and letters
  • Identify trends and patterns in your data
  • Generate task lists and follow-up items
  • Answer questions about your business data
  • Provide insights and recommendations

What 360x AI Cannot Do:

360x AI cannot:

  • Make final underwriting or coverage decisions (requires human judgment)
  • Replace professional compliance review
  • Transmit data to external systems
  • Modify data without your explicit approval
  • Access data it shouldn’t have access to

15.4 360x AI and Data Protection

Data Processing:

  • Your data is processed exclusively within our infrastructure provider
  • 360x AI accesses only the data necessary to answer your question
  • Responses are generated in real-time and not retained beyond the conversation
  • Conversation history is stored in your Live 360 account for your reference

Model Training:

  • Your data is NOT used to train, improve, or fine-tune 360x AI models
  • AI models are not updated based on your queries
  • 360 Technologies does not use your conversations for model development

Security:

  • Encryption in transit: TLS 1.2 or higher
  • Encryption at rest: AES-256
  • Access controls: Role-based, least privilege
  • Audit logging: All 360x AI interactions logged (6-year retention)
  • No third-party access: Your data stays within Live 360

15.5 360x AI Accuracy and Limitations

Limitations:

  • 360x AI may produce errors, inaccuracies, or incomplete responses
  • AI-generated outputs should not be used as the sole basis for important decisions
  • Human review and validation of 360x AI output is required
  • 360x AI output may not be suitable for regulatory decision-making without human oversight

Yours Responsibility:

  • Review and validate all 360x AI output before use
  • Use qualified human judgment for important decisions
  • Ensure compliance with applicable regulations
  • Maintain documentation of review and approval processes
  • Report any inaccurate or concerning outputs to 360 Technologies

15.6 External AI Services and Data Restrictions

Important: Do not transmit Your Data from 360 Products to external AI services, including:

  • ChatGPT Pro, Claude Pro, Copilot Pro, or other consumer AI services
  • MCP (Model Context Protocol) connectors to external AI systems (without authorization)
  • Third-party AI platforms or APIs without written authorization

Why: External services typically do not provide equivalent security protections, may use data for model training, and may not comply with your regulatory obligations.

360x AI vs External Services:

  • 360x AI: Secure, private, no model training, audit trail
  • External services: Variable security, potential data usage, limited transparency

Technical Controls:

  • 360 Technologies does not provide credentials for unauthorized integrations
  • API keys are issued only for authorized integrations
  • Usage is monitored for security compliance

  1. MCP INTEGRATION TERMS – AI ASSISTANT CONNECTIVITY

16.1 Scope

These terms apply when you connect Live 360, ClickSign 360, or Hi360x (collectively “360 Products”) to third-party AI assistants (“AI Assistants”) such as Microsoft Copilot, OpenAI ChatGPT, Anthropic Claude, or similar platforms via MCP (Model Context Protocol), API, or other integration methods.

These MCP Integration Terms supplement our general Terms of Use. In the event of conflict, these MCP Integration Terms shall govern with respect to AI Assistant use.

16.2 Authorization and API Keys

16.2.1 Confidentiality

You are solely responsible for maintaining the confidentiality of your API keys, tokens, and any credentials used to connect the 360 Products to AI Assistants.

16.2.2 Non-Transferability

API keys are issued to your account and may not be shared, transferred, or used across different organizations or user accounts without our prior written consent.

16.2.3 Revocation

360 Technologies USA LLC reserves the right to revoke, rotate, or invalidate API keys at any time, with or without cause, including but not limited to security concerns, policy violations, or suspected unauthorized use.

16.2.4 Key Expiration

API keys are valid for twelve (12) months from issuance, unless revoked earlier. You may request new keys upon expiration.

16.2.5 Notification

You must immediately notify us at info@360techusa.com if you suspect any unauthorized use of your API keys or credentials.

16.3 Permitted Actions Through AI Assistants

You may use AI Assistants to perform the following actions in Live 360, subject to the limitations in Sections 16.4 and 16.5:

  • Reading: View contacts, leads, deals, tasks, notes, activities, pipelines, and custom fields
  • Creation: Create new contacts, leads, deals, tasks, notes, activities, and follow-ups
  • Updating: Modify existing records, including status changes, field updates, and assignment changes (all updates logged)
  • Deletion: Delete records (requires confirmation; all deletions logged and recoverable for 30 days)
  • Searching: Query, filter, and retrieve data using natural language or structured queries
  • Reporting: Generate summaries, analyses, dashboards, and export data (CSV, PDF)
  • Workflow: Trigger automated workflows, send notifications, and update pipeline stages

Future Products: MCP integration for ClickSign 360 and Hi360x will follow the same permission framework with product-specific limitations, communicated prior to activation.

16.4 Prohibited Actions

You MAY NOT use AI Assistants to perform:

16.4.1 System Administration

Modify system settings, user permissions, roles, billing information, subscription plans, or administrative configurations.

16.4.2 Bulk Operations

Delete, export, or modify more than one hundred (100) records in a single request or within any five-minute period without prior written authorization.

16.4.3 Cross-User Access

Access, view, modify, or delete data belonging to other users or organizations without explicit and documented authorization.

16.4.4 Illegal Activities

Perform actions violating applicable laws, including TCPA, HIPAA, FINRA/SEC, PCI-DSS, GDPR, CCPA/CPRA, or other regulations.

16.4.5 Harassment and Spam

Generate, send, or facilitate unsolicited communications, spam, harassment, threats, or abusive messaging.

16.4.6 Security Evasion

Attempt to bypass rate limits, security controls, authentication mechanisms, or audit logging.

16.4.7 Unauthorized Data Collection

Scrape, crawl, or extract data beyond what is reasonably necessary for authorized use.

16.4.8 Resale

Resell, sublicense, or commercialize access to the 360 Products through AI Assistants without express written agreement.

16.5 Rate Limits and Fair Use

16.5.1 Standard Limits

  • API requests per minute: 60
  • API requests per hour: 1,000
  • API requests per day: 10,000
  • Records returned per query: 500
  • Concurrent sessions per user: 5
  • Concurrent sessions per organization: 25

16.5.2 Enterprise Limits

Enterprise customers may request higher limits by contacting their account manager or info@360techusa.com.

16.5.3 Excessive Use

We reserve the right to limit, restrict, or suspend access if usage exceeds reasonable levels or negatively impacts system performance or other customers.

16.5.4 Monitoring

We continuously monitor API usage for fair access. You will receive warning before any throttling action, where reasonably possible.

16.6 AI Assistant Liability and Disclaimers

16.6.1 No Guarantee of Accuracy

AI Assistants (including Microsoft Copilot, OpenAI ChatGPT, Anthropic Claude, and others) may misinterpret commands, generate incorrect results, or produce hallucinations. You acknowledge that AI-generated outputs are not guaranteed to be accurate, complete, or appropriate.

16.6.2 User Responsibility

You are solely responsible for:

  • Reviewing and validating any action performed through AI Assistants
  • Confirming AI-generated outputs are accurate and appropriate
  • Ensuring compliance with applicable laws and regulations
  • Obtaining necessary consents for AI-initiated communications

16.6.3 Audit Trail

All actions performed through MCP integration are logged in Live 360 audit logs. You are responsible for regularly reviewing these logs.

16.6.4 No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 360 TECHNOLOGIES USA LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE USE OF AI ASSISTANTS TO INTERACT WITH THE 360 PRODUCTS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.

16.6.5 Limitation of Liability

IN NO EVENT SHALL 360 TECHNOLOGIES USA LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF AI ASSISTANTS, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF REVENUE. OUR TOTAL LIABILITY FOR ALL MCP INTEGRATION CLAIMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS GREATER.

16.7 Security and Data Protection

16.7.1 Encryption

All communications between the 360 Products and AI Assistants via MCP are encrypted in transit using TLS 1.2 or higher.

16.7.2 Data Handling by AI Assistants

AI Assistants may cache, store, or process your data according to their own privacy policies and terms of service. You are responsible for reviewing and accepting those policies before connecting.

16.7.3 AI Training Opt-Out

By using the MCP integration, you acknowledge that external AI Assistant providers may use your data for model training purposes unless you opt out with them directly. 360 Technologies does not use your data for model training. 360x AI does not use your data for model training.

16.7.4 Credential Security

API keys and credentials must be stored securely. You must implement appropriate technical and organizational measures to prevent unauthorized access. 360 Technologies is not responsible for unauthorized use of compromised credentials.

16.7.5 Data Residency

Data transmitted through MCP may be processed in jurisdictions where the AI Assistant provider operates. You are responsible for ensuring compliance with applicable data residency requirements for your business.

16.8 Regulatory Compliance Obligations

You represent and warrant that you will comply with all applicable laws and regulations when using the MCP integration, including:

16.8.1 TCPA

You may not use AI Assistants to initiate automated calls, texts, or communications without prior express written consent. You must maintain records of consent.

16.8.2 HIPAA

If you use Live 360 with Protected Health Information (PHI), you must:

  • Use 360x AI for PHI processing (not external AI services via MCP)
  • Ensure any external AI Assistant provider complies with HIPAA
  • Obtain necessary BAAs from external AI Assistant providers

16.8.3 FINRA/SEC

All actions performed through AI Assistants must be recorded, retainable, and producible for regulatory audit. You must maintain complete records of all MCP interactions.

16.8.4 PCI-DSS

Credit card data and sensitive authentication data MUST NOT be transmitted, processed, or stored through AI Assistants under any circumstances.

16.8.5 GDPR

If you process personal data of EEA individuals, you must have:

  • Data Processing Agreements (DPAs) with 360 Technologies and the AI Assistant provider
  • Data Protection Impact Assessments (DPIAs) if required

16.8.6 CCPA/CPRA

If you are a California business, you must provide appropriate notices and honor opt-out requests for data processed through AI Assistants.

16.9 Audit and Monitoring

16.9.1 Our Monitoring

We may monitor MCP usage for security, compliance, performance, and fraud prevention.

16.9.2 Audit Logs

We will provide audit logs of all actions performed through AI Assistants upon request. Logs are retained for minimum twelve (12) months.

16.9.3 Your Obligations

You must retain records of MCP interactions as required by applicable regulations, including FINRA/SEC recordkeeping requirements.

16.9.4 Cooperation

You agree to cooperate with any audit or investigation related to MCP integration use, including providing access to relevant records and personnel.

16.10 Suspension and Termination

16.10.1 Immediate Suspension

We may suspend access to MCP integration immediately, without prior notice, if:

  • You violate any term of this agreement
  • Your API key is compromised or suspected to be compromised
  • Your usage poses a security risk to our systems or other customers
  • Required by applicable law or regulatory authority

16.10.2 Termination

We may terminate access for cause if a breach is not cured within five (5) business days after notice.

16.10.3 Effect of Termination

Upon termination, all API keys will be invalidated and pending requests will be cancelled. You must immediately cease using AI Assistants to interact with the 360 Products.

16.10.4 Survival

Sections 16.6 (Liability), 16.8 (Compliance), 16.9 (Audit), 16.12 (Indemnification), and 16.13 (Governing Law) survive termination.

16.11 Beta Features

16.11.1 Beta Status

Some MCP features may be designated as “beta,” “preview,” or “early access.”

16.11.2 Beta Terms

Beta features:

  • Are provided “as is” without warranty
  • May have limited or no support
  • May contain errors, bugs, or incomplete functionality
  • May change significantly or be discontinued without notice
  • Are not subject to SLA or uptime guarantees

16.11.3 Feedback

You may provide feedback on beta features. Such feedback becomes 360 Technologies’ property and may be used without compensation.

16.12 Indemnification

You agree to indemnify, defend, and hold harmless 360 Technologies USA LLC, its affiliates, directors, officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of AI Assistants to interact with the 360 Products
  • Any unauthorized action performed through your API keys or credentials
  • Violation of applicable laws or regulations through MCP integration
  • Any data breach or unauthorized disclosure caused by your failure to secure credentials
  • Any third-party claims (including AI Assistant providers) related to your use

16.13 Modifications to MCP Terms

16.13.1 Changes

We reserve the right to modify these MCP Integration Terms at any time.

16.13.2 Notification

Material changes will be communicated by email or through the 360 Products interface at least thirty (30) days before they become effective.

16.13.3 Acceptance

Continued use of the MCP integration after changes become effective constitutes acceptance of the modified terms.

17.1 Suspension or Termination

360 Technologies may suspend or terminate your access to the services if you:

  • Violate these Terms
  • Engage in harmful or illegal activity
  • Compromise platform security
  • Fail to comply with operational requirements
  • Violate regulatory compliance obligations

17.2 Effect of Termination

Upon termination:

  • Your access to the services will cease immediately
  • You may request export of Your Data within 30 days
  • After 30 days, data will be securely deleted
  • Survival Clause: Sections addressing liability, indemnification, and governing law survive termination
  1. GOVERNING LAW AND JURISDICTION

18.1 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

18.2 Jurisdiction

Any disputes, claims, or legal actions arising from or relating to these Terms shall be resolved exclusively in the courts located in Broward County or Palm Beach County, Florida.

You consent to the personal jurisdiction of these courts and waive any objection to venue.

18.3 Dispute Resolution

Before initiating litigation, you agree to attempt to resolve disputes through:

  • Good faith negotiation with 360 Technologies
  • Mediation if negotiation fails (cost split equally)
  • Arbitration if mediation fails (if both parties agree)
  1. CHANGES TO THESE TERMS

19.1 Updates

360 Technologies may update these Terms periodically. When changes occur:

  • We will revise the “Last Update” date at the top of this document
  • We will notify users when required by law
  • Material changes will be communicated at least thirty (30) days in advance

19.2 Acceptance

Continued use of the services after the effective date of changes constitutes your acceptance of the updated Terms.

If you do not accept the changes, you may discontinue your subscription during the notice period.
