1. Acceptance of Terms

By accessing or using any platform, application, or service provided by 360 Technologies USA LLC (“360 Technologies,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must discontinue use of all 360 Technologies services.

These Terms apply universally to all products and services offered by 360 Technologies, including but not limited to Live 360, ClickSign 360, and Hi360x.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use our services. By using our platforms, you represent and warrant that you meet these requirements.

3. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

You agree to:

  • Provide accurate and complete information during registration.

  • Maintain the security of your password and authentication methods.

  • Notify us immediately of any unauthorized access or security breach.

  • Not share your account with third parties.

360 Technologies is not liable for losses arising from unauthorized access resulting from your failure to secure your account.

4. Permitted Use

You agree to use our platforms solely for lawful business purposes and in compliance with these Terms. You may not:

  • Use the services for fraudulent, harmful, or illegal activities.

  • Attempt to gain unauthorized access to systems, networks, or data.

  • Interfere with platform functionality, performance, or security.

  • Upload malicious code, viruses, or harmful scripts.

  • Misuse or exploit any feature for unintended purposes.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Data Ownership and Use

You retain full ownership of all data, content, documents, and information you upload or process through our platforms.

360 Technologies does not sell, rent, trade, or monetize your information.

By using our services, you grant us a limited, non‑exclusive license to process your data solely for:

  • Operating and maintaining the platform

  • Providing requested features and workflows

  • Ensuring security, compliance, and reliability

  • Improving service performance and functionality

We do not use your data for external advertising or unrelated purposes.

6. Privacy and Security

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

We implement industry‑standard security measures, including:

  • SSL/TLS encryption

  • AES‑256 data encryption

  • Multi‑factor authentication

  • Role‑based access controls

  • Continuous monitoring

  • Regular backups and disaster recovery protocols

No system can be guaranteed completely secure. In the event of a breach, we will notify affected users promptly.

7. Service Availability and Modifications

We strive to maintain continuous availability of our platforms; however, we do not guarantee uninterrupted service.

We may modify, update, suspend, or discontinue any part of the service at any time, with or without notice, including:

  • Features

  • Interfaces

  • Pricing (if applicable)

  • System architecture

  • Access methods

We are not liable for any loss resulting from service interruptions or modifications.

8. Third‑Party Services

Our platforms may integrate with third‑party services such as SMS providers, email systems, cloud storage, or identity verification tools.

We are not responsible for:

  • The performance of third‑party services

  • Their availability

  • Their security practices

  • Their terms or policies

Your use of third‑party services is subject to their respective terms.

9. Intellectual Property

All software, interfaces, designs, trademarks, logos, and content provided by 360 Technologies are the exclusive property of 360 Technologies USA LLC.

You may not:

  • Copy, modify, distribute, or reverse engineer any part of our platforms

  • Use our trademarks without written permission

  • Create derivative works based on our services

10. Prohibited Conduct

You agree not to engage in any conduct that:

  • Violates laws or regulations

  • Harms the platform or other users

  • Attempts to bypass security controls

  • Misrepresents your identity or affiliation

  • Abuses communication or automation features

  • Interferes with system integrity or performance

11. Compliance Requirements

Depending on your industry and use case, you may be subject to regulatory obligations (e.g., CMS, HIPAA, GLBA, CCPA/CPRA). You are responsible for ensuring your use of our platforms complies with applicable laws.

360 Technologies supports compliance through secure architecture but does not assume responsibility for your regulatory obligations.

12. Limitation of Liability

To the fullest extent permitted by law, 360 Technologies is not liable for:

  • Indirect, incidental, or consequential damages

  • Loss of profits, business, or data

  • Service interruptions or delays

  • Unauthorized access resulting from your actions

  • Errors caused by third‑party integrations

  • User‑generated content or data

Our total liability for any claim shall not exceed the amount paid by you for the service during the previous 12 months (if applicable).

13. Indemnification

You agree to indemnify and hold harmless 360 Technologies USA LLC from any claims, damages, liabilities, or expenses arising from:

  • Your use of the services

  • Your violation of these Terms

  • Your violation of applicable laws

  • Your misuse of data or platform features

14. Termination

We may suspend or terminate your access to the services if you:

  • Violate these Terms

  • Engage in harmful or illegal activity

  • Compromise platform security

  • Fail to comply with operational requirements

Upon termination, your access will cease, but you may request data export subject to our retention policies.

15. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict‑of‑law principles.

Any disputes shall be resolved exclusively in the courts located in Broward County or Palm Beach County, Florida.

16. Changes to These Terms

We may update these Terms periodically. When changes occur, we will revise the “Effective Date” and notify users when required by law.

Continued use of the services constitutes acceptance of the updated Terms.
